rNPV Valuation Framework — Biotech Platform CompanyA client needed a high-level valuation tool for an older portfolio company position it was considering selling. Its existing model was stale and the original owner had left the firm.
The core challenge was not the modeling itself — it was architecting a clean valuation framework for a complicated drug asset portfolio at various stages of current and future development with varied and complex license terms, while identifying the key variables that actually impact value. Several conversations were held with the client to determine what information was available to them, what level of granularity mattered, and when the final product was needed.
The model went through numerous iterations before landing on a structure that was easy for an auditor to follow and capable of handling 100's of assets across time cohorts and development stages — from Research Funding through Marketed. The final on-time deliverable produced granular and portfolio-level NPV components with a dedicated sensitivity analysis tab housing six key assumption inputs. Single Drug Asset — Royalty & Milestone Trust ValuationA client owned part of a royalty and milestone trust for a single commercial-stage drug asset and needed a detailed revenue build and deal terms DCF model to evaluate the position. Green Shoots built the first version at the time of initial FDA approval and commercial launch, and updated it annually over eight years as the drug moved through its commercial lifecycle — from launch to the approach of patent expiration.
The license economic terms were complex - royalty rate tiers and haircut triggers, commercial milestones, sublicense fees, and an offset for economics owed to a separate trust – but known and static. The revenue forecast was far more uncertain and dynamic.
Early in the engagement, Green Shoots commissioned primary market research with a specialist firm conducting KOL interviews to determine potential market demand and the competitive landscape. Each annual update involved reconciliation of actual revenue results, refreshing market research and script data, referencing analyst estimates and recalibrating assumptions and scenarios. IP Out-License & Company Formation — Academic Medical Center SpinoutA venture capital fund engaged Green Shoots to provide transaction support in connection with the formation of a new company built around AI-powered digital pathology technology developed at a leading academic medical center. Working closely with the fund's investment partner, Green Shoots played a central role across multiple workstreams in what was one of the most complex engagements in the firm's history.
Green Shoots assisted in drafting the term sheet for the out-license of intellectual property from the academic medical center into the newly formed company, supporting negotiations across the founders, the institution, the fund, and their respective legal counsel.
